Definitions

In these Terms, the following words have the following meanings:

• "Quotz", "we", "us", or "our" means Quotz BV, a company incorporated under Belgian law.
• "Service" means the Quotz software-as-a-service platform accessible at app.quotz.app and any associated APIs, mobile applications, or features.
• "User", "you", or "your" means the individual or legal entity that has registered an account and is accessing the Service.
• "Content" means any data, text, files, images, or other material you upload, submit, or create through the Service.
• "Subscription" means a paid plan that grants ongoing access to the Service beyond the free trial period.

Acceptance of terms

By registering an account, clicking "I agree", or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity, in which case "you" refers to that entity.

If you do not agree to these Terms, you must not use the Service.

Account registration

You must provide accurate, complete, and up-to-date information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must promptly notify us at contact@quotz.app of any unauthorized access to or use of your account. We are not liable for losses caused by unauthorized use of your account where you failed to notify us promptly.

You may not share your account with third parties or create multiple accounts to circumvent usage limits or billing.

Free trial

During the free tier you have access to the core features of the Service within the 2-project limit. To create additional projects, you must activate a Subscription.

We reserve the right to modify or discontinue the free tier at any time without notice. Only one free account is permitted per person or company.

Subscriptions & billing

Plans and pricing

Current plans and pricing are published at quotz.app/#pricing. Prices are listed in EUR and are exclusive of applicable taxes (including Belgian VAT) unless stated otherwise.

Billing cycle

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you choose. Your billing date is set on the day you first activate a paid Subscription.

Automatic renewal

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal.

Cancellation

You may cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide pro-rata refunds for unused time in a billing period, except where required by applicable law.

Price changes

We will give you at least 30 days' notice before any price change takes effect. Continued use of the Service after the change constitutes acceptance of the new pricing.

Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to upload, transmit, or store content that is unlawful, defamatory, fraudulent, or that infringes third-party intellectual property rights;
• Attempt to gain unauthorized access to any part of the Service or its infrastructure;
• Use automated scripts, bots, or scrapers to extract data from the Service without our prior written consent;
• Resell, sublicense, or otherwise commercialize access to the Service without our written permission;
• Interfere with the integrity or performance of the Service;
• Use the Service in any way that could damage, disable, overburden, or impair our servers or networks.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

Intellectual property

Our IP

The Service, including its software, design, trademarks, logos, and documentation, is owned by Quotz BV and is protected by Belgian and international intellectual property laws. These Terms do not transfer any ownership rights to you.

Your Content

You retain ownership of all Content you submit to the Service. By uploading Content, you grant Quotz a limited, non-exclusive, royalty-free licence to host, store, and process that Content solely for the purpose of providing the Service to you.

We will never sell your Content to third parties or use it to train AI models without your explicit written consent.

Your data & media conservation policy

We store your project data, uploaded files, and generated documents for as long as your account is active, subject to the retention periods below.

You may request early deletion of your data at any time by contacting contact@quotz.app. We will process such requests within 30 days in accordance with our Privacy Policy.

AI-generated content

The Service uses AI models to generate cost estimates, shopping lists, and proposals. You acknowledge that:

• AI-generated outputs are estimates and should be reviewed and verified by a qualified professional before being presented to clients;
• We do not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated content;
• You are solely responsible for the content of any quotation or proposal you send to your clients, regardless of whether it was assisted by AI.

Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service and to use such information only for the purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Availability & SLA

We aim to maintain Service availability of 99.5% per calendar month, excluding scheduled maintenance windows, which we will announce at least 24 hours in advance.

The Service is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.

Limitation of liability

To the fullest extent permitted by applicable law, Quotz BV and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — the Service, even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability to you for any claims arising out of or related to these Terms or the Service exceed the amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by Belgian law.

Indemnification

You agree to indemnify, defend, and hold harmless Quotz BV and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

Termination

Termination by you

You may terminate your account at any time by cancelling your Subscription and contacting us at contact@quotz.app to request account deletion. Your data will be retained for 3 months after cancellation (see Section 8).

Termination by us

We may suspend or terminate your account immediately, without prior notice or liability, if you breach any provision of these Terms, if we are required to do so by law, or if continued provision of the Service becomes commercially unviable.

Upon termination, all licences granted to you under these Terms will immediately cease.

Modifications to the Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. The updated Terms will be posted at quotz.app/terms with a revised "Last updated" date.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your account before the changes take effect.

Governing law & disputes

These Terms are governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiations between the parties. If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of Brussels, Belgium.

If you are a consumer resident in the European Union, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
